These Terms and Conditions ("Terms") govern your use of Maximus Digital AI websites, client portals, AI tools, funnels, dashboards, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

 

1. Our Services

Maximus Digital AI builds and deploys done-for-you remote AI automation systems exclusively for the construction industry (Roofing Repair & Installation, HVAC Service, Electrical Service, Plumbing Service, Home Remodeling & Renovation, Rebar Installation & Placement, and related trades).

Our 33 AI services include (but are not limited to):

• AI Lead Generation & SDR

• AI Cold Email & Outreach

• AI Ads Manager

• AI Estimating & Bidding (photos/plans → bids)

• AI Workflow & Crew Scheduling

• AI Client Portal

• AI Site Tracker, Risk Alerts, Change Orders

• AI Invoice Chaser, Analytics, and more.

All systems run 24/7 remotely. Full details are in your custom proposal or discovery call.

 

2. Acceptable Use

You may use the Services only for lawful business purposes. You agree not to:

• Use the Services to violate any law or infringe third-party rights.

• Upload harmful code, viruses, or malicious content.

• Attempt to reverse engineer, copy, or extract our AI models or proprietary systems.

• Overload or interfere with our infrastructure.

• Use the Services for any purpose other than growing your construction business.

We reserve the right to suspend or terminate access for violations.

 

3. Client Content & Data

You grant Maximus Digital AI a limited, non-exclusive, royalty-free license to access, use, and process the data, photos, plans, calendars, CRM records, job details, and other materials you provide solely to deliver and improve the Services.

You represent and warrant that you own or have all necessary rights to provide this data. We will only use it as instructed and in accordance with our Privacy Policy.

 

4. No Guarantees

Results are not guaranteed. While many clients see strong outcomes (20–50 qualified leads/month, 60–80% manual work reduction, 30–50% revenue lift, break-even by month 3, 3x ROI by month 6), every business is different. We do not promise specific results, revenue, or leads. Success depends on your market, execution, and external factors (algorithms, competition, economy, etc.).

We have no control over third-party platforms (Google, Meta, job boards, etc.) and are not liable for their policy changes.

 

5. Intellectual Property

All AI systems, tools, dashboards, workflows, reports, and content created by Maximus Digital AI remain our intellectual property. You receive a limited license to use them during your engagement.

You may not copy, modify, distribute, or reverse-engineer our technology.

 

6. Third-Party Services & Links

The Services may integrate with or link to third-party tools (Stripe, Google, Meta, Procore, Housecall Pro, Calendly, etc.). We are not responsible for their performance, privacy practices, or availability. Your use of those services is governed by their own terms.

7. Client Responsibilities

You agree to:

• Provide accurate information and timely access to required accounts, calendars, CRMs, photos, plans, and tools.

• Approve content, bids, or automations when required.

• Comply with all applicable laws.

• Maintain active payment methods.

Failure to do so may delay or prevent results and does not relieve payment obligations.

 

8. Payment Terms

Pricing is custom based on scope. All fees are outlined in your separate proposal or agreement. You agree to pay all invoices on time. Late payments may incur fees and/or suspension of services. We do not offer refunds unless explicitly stated in writing.

 

9. Disclaimers

The Services are provided “AS IS.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We are not liable for construction project outcomes, material costs, labor issues, or any external factors.

 

10. Limitation of Liability

To the maximum extent permitted by law, Maximus Digital AI’s total liability to you for any claim shall not exceed the total amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, punitive, or lost-profit damages.

 

11. Indemnification

You agree to indemnify and hold harmless Maximus Digital AI, its owners, employees, and agents from any claims, damages, losses, and expenses (including attorney fees) arising from:

• Your use of the Services

• Your construction business activities

• Your violation of these Terms

 

12. Termination

We may terminate or suspend your access at any time for breach of these Terms or non-payment. You may terminate by providing written notice and settling all outstanding balances. Certain sections (IP, liability, indemnification) survive termination.

 

13. Confidentiality

Both parties agree to keep the other’s confidential information secure and use it only to fulfill this relationship.

 

14. Governing Law

These Terms are governed by the laws of the State of New Jersey. Any disputes shall be resolved exclusively in the courts of Bergen County, New Jersey.

 

15. Changes to Terms

We may update these Terms. Continued use after changes constitutes acceptance. Check this page periodically.

 

16. Entire Agreement & Severability

These Terms (together with your service agreement) constitute the entire understanding. If any provision is invalid, the rest remain in effect.
